Merchant License Agreement

EFFECTIVE DATE: January 18, 2026

LICENSOR: 3D Resilience Labs LLC d/b/a Outpost 3D ("Company")

LICENSEE: Active Premium Subscriber ("Merchant")

1. Grant of Commercial License

Subject to an active and paid Premium Subscription, the Company grants the Merchant a non-exclusive, non-transferable, and revocable license to sell physical 3D prints created from the digital files provided in the Premium Repository. This license applies only to physical objects and does not grant any ownership rights to the digital files themselves.

2. Independent Merchant Status

The Merchant is an independent contractor and is not an agent, partner, or employee of the Company.

• Manufacturer of Record: The Merchant acknowledges that by producing a physical object from a digital file, they are the sole "Manufacturer of Record" for that object.
• Branding: All sales must be conducted under the Merchant's own business name. The Merchant may not represent themselves as "Outpost 3D" or "3D Resilience Labs".

3. Manufacturing Responsibility & Liability

The Company provides digital designs for archival and educational purposes only.

• Quality Control: The Merchant assumes all responsibility for the structural integrity, safety, and quality of the physical prints they produce.
• Material Selection: The Merchant is solely responsible for selecting appropriate printing materials (e.g., PLA, ABS, Nylon) for the intended use of the part.
• Assumption of Risk: The Merchant assumes all risks associated with the manufacturing process and the subsequent use of the physical products by third-party buyers.

4. "As-Is" Assets and No Warranty

All digital files are provided on an "AS-IS" and "WITH ALL FAULTS" basis.

• No Design Warranty: The Company does not warrant that the designs will be error-free, fit for a particular purpose, or meet any specific safety or regulatory standards.
• No Functional Warranty: The Company disclaims any liability for mechanical failures or injuries resulting from the implementation of its digital designs.

5. Mandatory End-Customer Disclaimer

The Merchant must include the following written notice with every physical item sold or distributed to an end-customer:

"This physical item was manufactured by [Merchant Name] using digital designs provided under license. The original designer (3D Resilience Labs LLC) is not the manufacturer and is not responsible for manufacturing defects, material failures, or injuries resulting from use. Inspect for structural integrity before each application."

6. Indemnification

The Merchant agrees to indemnify, defend, and hold harmless the Company and its members, officers, and employees from any and all claims, damages, or legal fees (including attorney fees) arising from the Merchant's manufacturing, sale, or distribution of physical prints.

7. Prohibited Uses

The Merchant is strictly prohibited from using Company files to:

• Create Weapons: Produce firearms, weapon components, or regulated "dangerous devices".
• Medical Use: Produce medical devices, PPE, or items requiring FDA/medical certification.
• Digital Resale: Sell, share, or redistribute the digital STL/CAD files in any format.

8. Term and Termination

This license is valid only for the duration of an active Premium Subscription.

• Cancellation: Upon cancellation or expiration of the subscription, the Merchant's right to sell physical prints terminates immediately.
• Inventory: The Merchant may sell any existing physical inventory printed prior to the cancellation date but may not produce new items.

9. Governing Law

This Agreement shall be governed by the laws of the State of Indiana. Any legal disputes shall be venued in Tippecanoe County, Indiana.
